Buying an established New Zealand business.
How do I buy an established business in New Zealand?
Start by defining your budget, target sector and the role you want to play in the business. Register your interest with us, sign a confidentiality agreement for listings that fit, then review the Information Memorandum before meeting the owner. From there you make a conditional offer, complete due diligence on financials, lease, contracts and staff, and settle once conditions are satisfied. Most purchases run eight to sixteen weeks from offer to settlement.
How much deposit or capital do I need?
Banks in New Zealand typically lend against tangible security rather than goodwill, so buyers commonly need 40–60% of the purchase price in cash or property equity, with the balance funded by lending or vendor finance. Vendor finance — where the seller leaves part of the price outstanding — is more common than most buyers expect and is often available on well-matched deals.
What should due diligence cover?
At minimum: three years of financial statements reconciled to tax returns and bank statements, verification of normalisation adjustments, the lease and any assignment conditions, customer concentration, supplier terms, employment agreements and accrued leave liabilities, plant condition, and any licences or consents the business relies on. Engage an accountant and a commercial lawyer experienced in business acquisition — not simply a conveyancer.
Why isn't the business named in the listing?
Confidentiality protects the value of the business being sold. Naming it publicly risks unsettling staff, customers and suppliers before a sale is certain. Once you have signed a confidentiality agreement and been financially qualified, we will disclose the identity of the business along with the Information Memorandum.
Do you charge buyers a fee?
No. Rockfield is engaged and paid by the seller. There is no cost to you to register, review listings, or be introduced to a business. You will carry your own professional costs for accounting and legal due diligence.
